Job DescriptionMicrochip is seeking an in-house technology licensing lawyer to work in an Irish office in Cork, Dublin, or Ennis, at the lawyer’s election. The successful candidate will focus on in-coming and out-going complex technology licensing and will additionally provide legal services in areas not limited to the following: commercial transactions, technology consortiums, technology development agreements funded by government agencies and/or technology groups, guidance regarding European regulatory matters, including data privacy, some corporate law matters for European affiliates, and dispute resolution. This is the first attorney in this office. The attorney will collaborate with the MCHP legal department in Chandler, Arizona in order to provide international support to MCHP and its subsidiaries. Key responsibilities include the following: review, draft, and negotiate contracts (primarily technology licenses (outbound and inbound), consulting agreements (primarily for the creation of intellectual property), joint development agreements, and may include other commercial contracts such as sales and purchase agreements, leases, etc.), review data privacy clauses of vendor and customer contracts and provide guidance, provide guidance regarding customer and employee questions regarding data privacy, assist in IP management and enforcement as requested; manage relationships with outside counsel as approved by General Counsel, lead dispute resolution (both pre- and post- litigation) in Europe, assist in some corporate governance of European affiliates, such as drafting corporate intercompany agreements regarding the sale or licensing of IP, participate in project management of European corporate restructuring, and. participate in due diligence and other elements of mergers and acquisitions as needed. Job Requirements. Job Requirements: Admission on the Roll of Solicitors of Ireland, or England and Wales, for at least 7 years, or7 years’ experience post qualification as a Solicitor or Barrister-at-Law. Prior in-house experience preferred. Prior experience in the semiconductor industry or other high technology industry preferred. Experience drafting and negotiating technology licenses, technology development agreements, and commercial contracts required. Ability to prepare clear, comprehensive draft language – frequently based on incomplete outlines or concepts received from business owners. Ability to provide practical and professional guidance and advice in matters of commercial agreements, and business and legal practice. Ability to explain complex legal and technical issues in clear and concise terms. Ability to work independently and manage multiple projects at the same time. Proven team player and consensus builder who takes a business approach to law. Strong business acumen with exceptional verbal and written communication skills, and sound judgment. Effective time management and organizational skills. Attention to detail and follow-through is a must. Excellent interpersonal skills and professionalism. Proficient computer skills (e.g., Microsoft Office Suite, e-mail, and internet) required. Some domestic and international travel may be needed from time to time.
